By downloading, installing, or using the Zima AI Photo Generator application (“App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the App. These Terms constitute a legally binding agreement between you and Codivo regarding your use of the App.

2. Description of Service

Zima is an AI-powered photo generation application that allows users to create, edit, and enhance images using artificial intelligence technology. The App operates on a subscription basis and provides various AI-powered photo generation and editing features including but not limited to:

• AI-generated images from text prompts
• Photo enhancement and editing tools
• Style transfer and artistic filters
• Background removal and replacement
• Image upscaling and quality improvement

3. Subscription and Payment Terms

3.1 Subscription Plans

The App offers various subscription plans with different features and usage limits. Subscription fees are charged on a recurring basis (monthly, yearly, or as otherwise specified) and are non-refundable except as required by applicable law.

3.2 Free Trial

We may offer free trial periods for certain subscription plans. If you do not cancel before the end of the trial period, you will be automatically charged for the subscription.

3.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date. You can manage your subscription and turn off auto-renewal through your device’s settings or the App.

3.4 Price Changes

We reserve the right to modify subscription fees at any time. We will provide reasonable advance notice of any price changes and, where required by law, your consent will be required to continue using the service at the new price.

3.5 Refunds

4. AI Content Generation and Usage Rights

4.1 Generated Content

Images generated through the App using our AI technology are created based on your inputs and prompts. You retain ownership rights to the final generated images, subject to these Terms.

4.2 Content Restrictions

You agree not to use the App to generate content that:

• Depicts illegal activities or violates any laws
• Contains nudity, sexual content, or adult material
• Promotes hate speech, discrimination, or violence
• Infringes on the rights of others, including copyrights and trademarks
• Depicts real individuals without their consent
• Contains misleading or false information intended to deceive
• Violates our community guidelines or content policy

4.3 Commercial Use

Subject to your subscription plan, you may use generated images for commercial purposes. However, you are solely responsible for ensuring that your use complies with applicable laws and does not infringe on third-party rights.

5. User Accounts and Conduct

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your password and account
• Promptly notify us of any unauthorized use of your account
• Use the App in compliance with these Terms and applicable laws
• Not share your account credentials with others
• Not attempt to circumvent usage limits or restrictions

6. Data Processing and Privacy

We process your images and data solely to provide the AI photo generation service. We do not store your uploaded images or generated content on our servers after processing is complete. All image processing is performed in real-time, and images are automatically deleted from our systems immediately after generation. 7. Intellectual Property Rights

7.1 Our Intellectual Property

The App, including its AI technology, algorithms, software, design, and other intellectual property, is owned by Codivo and is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any images you upload to the App and any images generated by the App based on your inputs. By using the App, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the service.

7.3 Third-Party Content

You are responsible for ensuring that any content you upload or use with the App does not infringe on third-party intellectual property rights.

8. Service Availability and Limitations

While we strive to provide reliable service, the App may experience downtime, interruptions, or limitations due to:

• Scheduled maintenance or updates
• Technical difficulties or server issues
• Third-party service dependencies
• Force majeure events beyond our control

We do not guarantee uninterrupted availability of the App and are not liable for any interruptions or limitations in service.

9. Prohibited Uses

You agree not to:

• Use the App for any illegal or unauthorized purpose
• Attempt to reverse engineer, decompile, or hack the App

AI-generated content may not always be accurate, appropriate, or suitable for your intended use. We do not guarantee the quality, accuracy, or appropriateness of generated content, and you use such content at your own risk.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODIVO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

11. Indemnification

You agree to defend, indemnify, and hold harmless Codivo and its affiliates from any claims, damages, or expenses arising from your use of the App, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may terminate or suspend your account and access to the App at any time, with or without cause, including if you violate these Terms. Upon termination, your right to use the App will cease immediately, and any outstanding subscription fees will be handled according to our refund policy.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms will be resolved through binding arbitration, except where prohibited by law.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes through the App or by email. Continued use of the App after such changes constitutes your acceptance of the new Terms.
